1. Acceptance of Terms

By accessing, registering for, or using MM3 (the “Platform”), you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you must not access or use the Platform.

If you use the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. About the Platform

MM3 is a software tool that provides AI-powered technical analysis, market data aggregation, watchlist features, and related informational tools for Vietnam's stock markets, including HOSE, HNX, and UPCOM.

The Platform is provided as a technology and information tool only.

MM3 is not:

  • a licensed securities advisory firm;
  • a broker or securities company;
  • a bank, credit institution, or financial institution; or
  • an agent of any state authority, stock exchange, or securities regulator.

3. No Investment Advice

All content, data, scores, signals, alerts, charting outputs, AI-generated responses, market summaries, and analysis made available through the Platform are provided for general informational and reference purposes only.

Nothing on the Platform constitutes:

  • investment advice;
  • securities advisory services;
  • a recommendation to buy, sell, hold, or dispose of any security;
  • an offer, solicitation, or arrangement for any securities transaction; or
  • professional legal, accounting, tax, or financial advice.

You are solely responsible for evaluating any information and for making your own decisions. You should consult qualified professional advisers where appropriate.

4. Risk Warning

Investing in securities involves risk. Market prices may fluctuate significantly, and users may lose part or all of their invested capital.

Past performance does not guarantee future results. Any technical indicators, AI outputs, or system-generated insights may become outdated quickly and may not reflect real-time market conditions.

5. AI Limitations and Third-Party Data

5.1 AI Limitations

Certain features of the Platform may use artificial intelligence or large language models to generate analysis, summaries, or responses. Such outputs may be incomplete, inaccurate, outdated, misleading, or unsuitable for your intended purpose.

AI-generated content is automated content and must be independently reviewed and verified by the user before any reliance or action is taken.

5.2 Third-Party Data

The Platform may use, display, or aggregate data from third-party sources. GTG Soft does not guarantee the accuracy, completeness, timeliness, availability, or continued supply of any third-party data.

GTG Soft is not responsible for errors, omissions, delays, interruptions, or inaccuracies originating from third-party sources.

6. Eligibility and Account Use

You may use the Platform only if you have legal capacity under applicable law.

You agree to:

  • provide accurate and complete account information;
  • keep your login credentials secure and confidential;
  • promptly update inaccurate or outdated information; and
  • accept responsibility for activity occurring under your account, to the extent caused by your acts, omissions, or failure to safeguard credentials.

You must not share accounts in a misleading, unauthorized, or abusive manner.

7. Acceptable Use

You agree to use the Platform lawfully and responsibly. You must not:

  • violate any applicable law or regulation;
  • misuse the Platform to create a false impression of official, licensed, or guaranteed analysis;
  • interfere with the operation, security, or integrity of the Platform;
  • scrape, crawl, or systematically extract Platform data without authorization;
  • attempt to bypass access controls, rate limits, or technical restrictions;
  • upload, post, or transmit malicious code or harmful content; or
  • use the Platform in a manner that harms GTG Soft, other users, regulators, or market integrity.

8. Prohibited Activities

Without limiting the generality of Section 7, users are strictly prohibited from using the Platform for any of the following:

  1. Market manipulation or coordinated activity intended to distort securities prices or trading activity.
  2. Insider trading or use of material non-public information.
  3. Republishing Platform outputs as official market reports, licensed advisory content, or certified research.
  4. Reselling or redistributing Platform outputs as unauthorized professional securities advice.
  5. Fraud, deception, impersonation, or misleading conduct toward investors, counterparties, regulators, or the public.
  6. Money laundering, concealment of unlawful proceeds, or use of the Platform for unlawful financial activity.
  7. Evading legal or regulatory obligations, including disclosure, reporting, or trading restrictions.
  8. Presenting Platform outputs as endorsed by or affiliated with any government body, stock exchange, or regulator.
  9. Using Platform content as the sole basis for legal threats, coercion, or improper pressure against any person or entity.
  10. Automated bulk extraction or redistribution of Platform content or data without authorization.

9. Restrictions on AI Outputs

AI-generated content, scores, recommendations, chat outputs, and analytical summaries provided by the Platform:

  • are not certified professional opinions;
  • are not official market reports;
  • are not expert testimony or legal evidence created by GTG Soft for use in proceedings;
  • must not be represented as licensed securities advice; and
  • must not be redistributed as proprietary analyst research or official financial publications.

For clarity, Platform outputs may be retained by users for personal reference, but users remain solely responsible for how such outputs are interpreted, shared, or used.

10. User Content and Feedback

To the extent you submit watchlists, portfolio information, prompts, messages, comments, feedback, or other content (“User Content”), you represent that you have the necessary rights to submit such content.

You retain your rights in your User Content. However, you grant GTG Soft a non-exclusive, worldwide, royalty-free license to host, process, store, reproduce, and use such User Content solely for the purposes of operating, securing, improving, and supporting the Platform, subject to applicable law and the Platform's privacy commitments.

If you provide feedback, suggestions, or ideas about the Platform, GTG Soft may use them without restriction or compensation, unless otherwise agreed in writing.

11. Fees, Billing, and Credits

If the Platform offers paid plans, credits, subscriptions, invoices, or billing features, you agree to pay the applicable fees as presented at the time of purchase.

Unless otherwise stated:

  • fees are non-refundable to the maximum extent permitted by law;
  • paid features may be suspended if payment is overdue or reversed;
  • invoices and tax records may be retained for the period required by law; and
  • GTG Soft may change pricing prospectively with prior notice where legally required.

12. Intellectual Property

The Platform, including its software, interface, design, logos, text, visual elements, databases, compiled data presentation, and related materials, is owned by or licensed to GTG Soft and protected by intellectual property laws.

These Terms do not transfer any ownership rights to you. Subject to these Terms, GTG Soft grants you a limited, non-exclusive, revocable, non-transferable right to access and use the Platform for its intended purpose.

You must not copy, modify, reverse engineer, create derivative works from, redistribute, sell, lease, sublicense, or commercially exploit any part of the Platform except as expressly permitted in writing.

13. Suspension, Restriction, and Termination

GTG Soft may investigate suspected violations of these Terms, abuse, unlawful activity, security incidents, or conduct that may expose the Platform, its users, or third parties to harm.

Depending on the nature, severity, frequency, impact, and surrounding circumstances of a violation, GTG Soft may take one or more of the following actions:

  • issue a warning;
  • remove or restrict content;
  • temporarily limit access to features;
  • suspend an account;
  • terminate an account; or
  • take other reasonable protective measures.

GTG Soft may skip intermediate steps where reasonably necessary, including in cases involving suspected fraud, market abuse, criminal activity, security threats, repeated violations, or urgent risk to users, the Platform, or third parties.

Where required by applicable law, GTG Soft may preserve, review, and provide relevant information to competent state authorities.

Termination or suspension decisions may be implemented immediately where justified by risk, legal requirements, or security needs.

14. Privacy and Data Handling

Your use of the Platform is also subject to the applicable Privacy Policy and internal compliance rules of GTG Soft, including personal data protection controls and legal retention obligations.

GTG Soft may collect and process account data, usage data, billing records, prompts, and feature interaction data to operate the Platform, comply with legal obligations, prevent abuse, and improve service quality, subject to applicable law.

15. Disclaimer of Warranties

To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis.

GTG Soft disclaims all warranties, express or implied, including any implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, availability, uninterrupted access, or error-free operation.

GTG Soft does not warrant that:

  • the Platform will always be available or uninterrupted;
  • any output will be accurate, complete, current, or suitable for your needs;
  • any defects will be corrected within a specific timeframe; or
  • the Platform will prevent all losses, risks, or adverse market outcomes.

16. Limitation of Liability

To the maximum extent permitted by law, GTG Soft and its affiliates, directors, employees, contractors, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or loss-of-profit damages, or for any loss of data, goodwill, business opportunity, or investment value, arising out of or related to your use of or inability to use the Platform.

In particular, GTG Soft is not liable for:

  • any investment loss or trading decision;
  • reliance on AI-generated outputs, alerts, scores, or summaries;
  • data inaccuracies, delays, interruptions, or omissions;
  • actions of third-party data providers or service providers; or
  • user misuse of Platform content.

If liability cannot be excluded, it shall be limited to the amount you paid to GTG Soft for the relevant paid service during the three (3) months immediately preceding the event giving rise to the claim, unless applicable law requires otherwise.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

17. Indemnity

You agree to indemnify and hold harmless GTG Soft, its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

  • your breach of these Terms;
  • your unlawful or improper use of the Platform;
  • your violation of applicable law or third-party rights; or
  • your distribution, misrepresentation, or misuse of Platform outputs.

18. Changes to the Platform and Terms

GTG Soft may modify, update, suspend, or discontinue any part of the Platform from time to time.

GTG Soft may also amend these Terms. Updated Terms become effective when posted, unless a later effective date is stated. Where required by law, GTG Soft will provide notice or seek renewed acceptance.

Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Socialist Republic of Vietnam.

Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation between the parties.

If the dispute cannot be resolved through negotiation within a reasonable period, either party may bring the dispute before a competent court in Ho Chi Minh City, Vietnam, unless applicable law requires otherwise.

20. Severability and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.

These Terms, together with any applicable Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and GTG Soft regarding the Platform.
